    Head Legal Company Secretary

    About the job

    • Reporting to the Managing Director of Wemabod Limited
    • Responsible for Overseeing the activities of the Legal Department, Legal Manager and the Legal Assistant

    Role overview:

    • Effectively manage all legal, administrative, and other tasks that are necessary for the company to stay operational. Ensuring that the firm complies with all legal and regulatory requirements and that the board of directors' decisions are carried out.
    • Will also provide administrative support and guidance to the company’s directors about how the organisation should be directed, managed, or controlled.
    • The post holder will be a part of the Management Team and a Secretary to the Board of Directors.

    Key Responsibilities:

    • Convening and servicing annual general meetings (AGMs)/meetings (producing agendas, taking minutes, conveying decisions, handling meeting correspondence of:
    • Board and its Committee Meetings
    • General Meetings
    • Management Meeting
    • Keep the record of the proceedings of all general meetings.
    • Make arrangement for the payment of the dividend within prescribed period as provided under the provisions of the Companies Law.
    • Guiding the Board and Management to ensure they are operating in accordance with rules and regulations of Corporate Governance every time.
    • Ensure compliance with the provisions of Companies Law and rules made there under and other statutes and by-laws as well as the memorandum and articles of association of the company as the need arises.
    • Providing legal advice/opinion on all contractual obligations/agreements related to the company’s operations and ensuring that all policies and regulations are legally binding.
    • Custody and use of the common seal.
    • Custodian of all security documents including title documents of the company’s property and contracts and agreements entered by the company.
    • Training directors and members of the senior leadership team on corporate governance matters
    • Liaising with the public in respect of the company on legal matters.
    • Acts as a point of communication between the board of directors and the shareholder(s).
    • Keeping up to date with any regulatory or statutory changes and policies that might affect the organisation.
    • Providing support to the board or other Board committees on specific projects
    • Implementing processes or systems to help ensure good management of the organisation or compliance with legislation.
    • General litigation management.
    • Drafting of agreements and documents such as leases, subleases, consents, assignments, quit notices, deed of release, contracts and other legal documents and their execution.
    • Attending court to represent the company in litigations by or against the company.
    • Any other duty as delegated by the Managing Director.

    Change to Responsibilities:

    • The Organisation through the Corporate Services Department may amend these responsibilities at any time in line with the changing organisational strategy, structure and roles.

    Other requirements:

    The position is located in Lagos (8/10 Broad Street, 5th floor Western House), Lagos.

    Compensation Package:

    • Salary: Extremely competitive but based on experience (JC 24)
    • Location: Lagos
    • Hours: Normal Office hours are 8.00 am - 5 pm with a one-hour break Monday-Friday but at the exigencies of the job
    • Annual Leave: 22 Working days
    • Pension: In line with the pension scheme of the Organisation
    • Contract: Permanent
    • Probation: Six months

    Education:

    • Degree in Bachelor of Laws (LLB), Master’s degree in Law (LLB), and BL.

    Experience:

    • Minimum of 10-15 years of relevant work experience In the Real Estate sector
