    Legal and Compliance Manager

     Role Description

    • As the Legal and Compliance Manager, you will be responsible for ensuring the company adheres to all regulatory, legal, and corporate governance requirements.
    • You will play a key role in managing the legal affairs of the organization, including drafting agreements, providing legal advice, and overseeing company secretarial duties.
    • This position requires someone with a strong background in legal functions, particularly in the financial sector, who can manage compliance programs and safeguard the company’s regulatory standing. 

    Key Responsibilities: 

    Legal Advisory: 

    • Provide expert legal advice to the company’s leadership and all departments. 
    • Draft, review, and negotiate contracts, agreements, and legal documents to ensure the company's interests are protected. 
    • Manage legal disputes, litigations, and alternative dispute resolution processes. 
    • Ensure compliance with all applicable laws, particularly financial regulations, company law, labor laws, and corporate governance codes. 

    Compliance Management: 

    • Develop, implement, and maintain a robust compliance framework. 
    • Monitor regulatory developments and ensure that the company remains compliant with relevant laws. 
    • Liaise with regulatory bodies and respond to queries, inspections, and audits. 
    • Conduct periodic compliance audits and prepare detailed reports for the senior management team. 

    Company Secretariat: 

    • Serve as the company secretary, handling board meetings, preparing agendas, and ensuring compliance with statutory obligations. 
    • Maintain corporate records, including minutes of meetings and resolutions. 
    • Coordinate the filing of statutory documents with regulatory authorities (e.g., CAC, SEC). 

    Job Specifications: 

    Education: 

    • Bachelor’s degree in Law (LLB). 
    • BL (Nigerian Bar Qualification) is mandatory. 
    • A Master’s degree or professional certifications in Compliance, Corporate Governance, or related fields would be an advantage. 

    Experience: 

    • Minimum of 7-10 years of post-call experience in a legal or compliance role, with at least 3 years in a managerial position. 
    • Prior experience in the financial services sector (e.g., banks, microfinance institutions, insurance companies) is required. 
    • Proven track record of drafting, negotiating, and managing legal agreements and contracts. 
    • Demonstrated experience in handling corporate governance and company secretarial duties. 

    Skills: 

    • Excellent knowledge of Nigerian law, financial regulations, and corporate governance principles. 
    • Strong communication and drafting skills with the ability to produce clear, concise, and legally sound documents. 

    Added Advantage: 

    • Experience as a Company Secretary in a financial institution. 
    • Certification in Corporate Governance, Compliance, or Risk Management. 
    • Proficiency in drafting legal agreements, including loan agreements, partnership agreements, and service contracts. 
    • Familiarity with regulatory bodies like SEC, CBN, and NDIC.
