    Head of Corporate Services / Company Secretary

    Job Summary:

    • The Head of Corporate Services/Company Secretary at Personal Trust Microfinance Bank will be responsible for providing strategic oversight and leadership for the Legal, Human Resources, and administrative functions.
    • This role combines the duties of Company Secretary and HR Manager, ensuring that the bank adheres to legal, regulatory, and corporate governance standards, while also managing HR and administrative operations.
    • The ideal candidate will have an LL.B, BL, and significant experience in legal and corporate services, with strong leadership capabilities.

    Key Responsibilities:

    Company Secretary Duties:

    • Ensure the bank complies with statutory and regulatory requirements, including the preparation and submission of filings and maintaining statutory registers.
    • Organize and document board and committee meetings, prepare agendas, minutes, and resolutions, and ensure effective communication with board members.

    Human Resources Management:

    • Oversee recruitment, training, performance management, and staff development initiatives.
    • Ensure the development and implementation of HR policies and procedures that align with legal requirements and support the bank’s goals.
    • Lead employee relations efforts, including handling grievances, conflict resolution, and disciplinary actions in line with labour laws and company policies.
    • Oversee employee engagement, retention, and welfare programmes.

    Legal Department Oversight:

    • Manage and oversee all legal matters, including litigation, contracts, and any legal disputes involving the bank.
    • Draft, review, and negotiate contracts, agreements, and other legal documents.
    • Provide legal advice and guidance on corporate matters, business transactions, and regulatory compliance.
    • Provide legal advice on corporate governance matters, legal risks, and regulatory compliance.
    • Liaise with external regulators, legal advisers, and other stakeholders on legal and governance matters.

    Administrative and Operational Oversight:

    • Ensure the smooth management of office operations, facilities, and procurement processes.
    • Manage the administration department to ensure that all office and facility needs are met, including equipment, maintenance, and space management.
    • Develop and implement strategies to optimise administrative processes and ensure cost-efficiency.

    Leadership and Strategy:

    • Lead, mentor, and manage members of the corporate services team/department
    • Provide strategic guidance and support to senior management on matters related to corporate services, governance, and human resources.
    • Collaborate with other departments to support the overall growth and operational efficiency of the bank.

    Key Qualifications:

    • LL.B. and BL (Barrister-at-Law) qualifications are required. A master’s degree or professional certification in Human Resources (e.g., CIPM, SHRM) is an added advantage.
    • Minimum of 8 years of relevant experience, with at least 3 years in a senior management position overseeing legal, HR, and administrative functions.
    • Strong understanding of corporate governance, legal compliance, and labour laws.
    • Proven experience in leading legal, HR, and administrative teams, with a track record of strategic planning and implementation.
    • Excellent communication, negotiation, and leadership skills.
    • Ability to manage multiple priorities and work effectively under pressure.
