    Legal Secretary

    Our client a reputable Law Firm currently seeking highly knowledgeable, self-motivated Legal Secretary with proven and solid  Secretarial experience in a legal firm

    Job Description:

    • Provide Company Secretarial Services to clients including scheduling meetings, proactively managing agenda, taking minutes, following up on action items to ensure achievement of deliverables and reporting on matters arising.
    • Ensure client compliance with various sectoral industry corporate Governance Codes
    • Support chairman of client companies to ensure the respective boards efficiently perform their oversight and developmental functions.
    • ·Keep abreast of changing in legislation affecting client’s industry and advising client companies and members as to how such changes may apply to them respectively.
    • Develop a robust system of communicating decision to members and other stakeholders [as appropriate]
    • Keep and maintain the register of members, books of account and other statutory books of client companies, the register of directors and secretaries, the register of director’s interest, the register of charges.
    • Ensure that all company’s returns, share certificate and accounts are prepared and filed timeously with relevant Authorities.
    • Prepare relevant documents in respect of change to the company structure as and when required. Such matters will include allotment of shares, transfer of shares, creation of different share classes and appointments and resignations of officers.
    • Filing of statutory forms and copies of resolution and agreements at the corporate Affairs Commission.
    • Provide administrative support to client companies as may require.
    • Keep current and accurate and accurate time records and ensures billing responsibilities are discharged. Follow up with debit notes promptly.
    • Provide support to board committees and build effective working relationships with all board members, offering impartial advice and acting in the best interest of the company.
    • Advise on procedural and administrative systems on behalf of the clients.
    • Assist client to navigate the challenges they face as their business grows in the constantly changing global environment.

    Requirements:

    • Bachelor of Laws (LL.B) –Minimum of a Second Class (Lower Division).
    • BL – Minimum of a Second Class (Lower Division)
    • Masters’ degree is an added advantage.
    • Proven and solid 3-5 years’ experience in Company Secretarial Services in a reputable law firm.
    • Ability to work with minimal supervision and the ability to lead a team effectively.
    • Strong research, intellectual and analytical skills.
    • Sound command of English language (oral and written) is a requirement and will be tested at the interview stage.
    • Ability to use Microsoft applications.
    • Ability to give legal advice on issues quickly and efficiently.
